General Terms and Conditions
Please review our General Terms and Conditions carefully. These terms govern your use of our services, including bookings, payments, cancellations, and other important aspects of your agreement with us. By using our website and services, you agree to comply with and be bound by the following terms. For detailed terms and conditions specific to your agreement, please refer to the documents provided during the contracting process. For any questions or further details, please contact us directly.
1. General
1.1. These General Terms and Conditions (hereinafter referred to as "GTC") apply to all contracts concluded with Happily Forever.
1.2. These GTC govern the use of services (hereinafter referred to as "Services") offered by Happily Forever by the wedding couple (hereinafter referred to as "Client"), as well as the rights and obligations arising from these services.
1.3. By accepting services from Happily Forever for the first time, Clients acknowledge the applicability of these GTC.
1.4. Any deviation from these GTC is only effective if agreed upon in writing by an authorized representative of Happily Forever.
1.5. Happily Forever ensures that the current version of these GTC is available on their homepage at http://www.weddingplanner-mauritius.com for review and download. Oral agreements between Happily Forever and Clients are invalid.
2. Changes to the GTC
2.1. Happily Forever reserves the right to amend these GTC at any time.
2.2. Clients will be informed of changes to the GTC via a notice on the homepage http://www.weddingplanner-mauritius.com indicating the date of publication and the current status of the GTC. Additionally, Clients will be notified of any changes to the GTC prior to contract conclusion.
2.3. The new GTC will take effect thirty days after their publication on the homepage.
2.4. For already concluded contracts, the GTC valid at the time of contract conclusion will apply.
3. Service Description
3.1. The services offered by Happily Forever to Clients include a wide range of activities from wedding planning and organization to support on the wedding day.
3.2. The service offerings include:
(a) An initial consultation with detailed advice ("Initial Consultation"); further paid consultations can be availed by the Clients ("Follow-up Consultations");
(b) Services according to the packages offered by Happily Forever ("Wedding Packages"); and
(c) Additional services ("Additional Services") not included in the offered Wedding Packages but can be included in the Wedding Packages subject to Happily Forever's approval ("Extended Wedding Packages").
3.3. The specific Wedding Package and any additional services will be defined during the order process between the Clients and Happily Forever.
4. Service Provision
4.1. Services Provided by Happily Forever
4.1.1. Clients acknowledge that Happily Forever exclusively provides consulting, organizational, and support services. Any additional services will be provided by third parties as per clause 4.2.
4.1.2. These services are compensated with the fee payable to Happily Forever.
4.1.3. The services provided by Happily Forever remain the property of Happily Forever until the invoiced fee is fully paid. This applies especially to services that are intellectual property of Happily Forever. Clients are not entitled to implement concepts, schedules, etc., provided by Happily Forever or have them implemented by third parties before payment.
4.2. Services Provided by Third Parties
4.2.1. Clients acknowledge that the Wedding Packages and Extended Wedding Packages include services provided by third parties and/or partners ("Third Parties").
4.2.2. These are services not provided by Happily Forever. Clients consent to Happily Forever commissioning Third Parties in their name and on their account to perform services defined in the selected Wedding Package or Extended Wedding Package if necessary. The selection of Third Parties is at the sole discretion of Happily Forever unless otherwise agreed. Commissioning can be oral, written, or via email.
4.2.3. Clients acknowledge that they become contractual partners of the Third Parties. Happily Forever is not liable for incomplete or delayed services by Third Parties. Clients agree to this exclusion of liability by signing the GTC.
5. Contract Conclusion
5.1. The services offered on the homepage and described in clause 3.2. are non-binding and are an invitation to submit an offer to Happily Forever. Acceptance of an offer is at the sole discretion of Happily Forever.
5.2. If Happily Forever is interested in accepting an offer, Clients will be contacted within 14 days for a meeting to clarify the contract content. If the period lapses, Clients are no longer bound by their offer.
5.3. Happily Forever is bound by their written offers to Clients for 4 weeks from the day of the offer, unless stated otherwise. Acceptance of offers outside this period is considered a new offer. It is at the discretion of Happily Forever to accept this new offer.
5.4. Offers to Clients can be accepted in writing, orally, or via email.
6. Prices
6.1. Prices for services are stated in the Wedding Packages emailed to Clients. Current prices are communicated before contract conclusion.
6.2. All prices are gross prices, including VAT.
6.3. Prices for Wedding Packages are lump sums, including VAT.
6.4. Happily Forever may charge out-of-pocket expenses like travel costs, copy costs, etc., separately.
7. Compensation
7.1. Invoices from Happily Forever are payable within fourteen days of receipt.
7.2. Clients booking a Happily Forever Wedding Package or Extended Wedding Package are required to make a 30% advance payment within fourteen days of booking confirmation.
7.3. Invoices are deemed accepted if no objections are raised within two weeks of receipt.
7.4. Happily Forever is entitled to their fee even if the wedding cannot be performed as planned due to circumstances beyond their control.
8. Client Cooperation
8.1. Clients must provide necessary information for service provision and ensure access to venues. Failure to cooperate entitles Happily Forever to terminate the contract and claim damages.
9. Penalty Clause
9.1. If services are used by Clients or third parties without Happily Forever's involvement after cancellation or withdrawal, Clients owe a penalty of 30% of the gross price.
9.2. This applies if pre-services are used by family or third parties benefiting the Clients.
10. Withdrawal and Termination
10.1. Client Withdrawal
10.1.1. Clients can withdraw from the contract under conditions stated in 10.1.2. to 10.1.3. by written notice.
10.1.2. Cancellation fees depend on the wedding date: 30% up to 8 weeks before, 75% up to 4 weeks before, 90% within 1 week of the wedding date.
10.1.3. For hourly rate agreements, Happily Forever charges for hours worked up to cancellation.
10.2. Termination by Happily Forever
10.2.1 Happily Forever can terminate the contract without notice if Clients default on payments despite reminders or fail to cooperate. Claims for services provided and damages remain unaffected.
10.2.2 In the event of cancellation by Happily Forever due to unforeseen circumstances or Force Majeure Events (as defined in clause 18), Clients shall be entitled to a refund of any advance payments made, less any reasonable costs already incurred by Happily Forever.
11. Payment Default
11.1. In case of default, Happily Forever charges 4% annual interest.
11.2. Further claims for default damages are not excluded.
12. Warranty and Liability
12.1. Happily Forever provides warranty under legal provisions.
12.2. Warranty claims are excluded for deviations from plans or instructions, errors from Client information, or third-party performance.
12.3. Happily Forever is liable for damages only in cases of intent or gross negligence. Liability for slight negligence is excluded.
12.4. Clients must assert claims against third parties at their expense.
13. Set-Off
13.1. Clients can only set off claims against Happily Forever from the same contract. 13.2. Clients can set off recognized or legally determined claims.
14. Data Protection
14.1. Client data is protected and shared only to fulfill contractual obligations. Clients consent to data sharing by signing the contract.
14.2. Clients consent to data storage in Happily Forever's system.
15. Advertising
15.1. By providing their address, Clients agree to receive promotional material via email from Happily Forever.
15.2 Photo Usage for Marketing Purposes
15.2.1Clients acknowledge that Happily Forever reserves the right to use up to five (5) photographs from the client's wedding, chosen at their discretion, for marketing purposes on their website, social media, and other online platforms.
15.2.2 If the client does not wish for their wedding photos to be used for marketing purposes, they must notify Happily Forever in writing via email. Upon receipt of such notice, Happily Forever will refrain from using any photos of the client’s wedding in their marketing materials.
16. Applicable Law, Jurisdiction, Place of Performance
16.1. Mauritian law applies to all legal relationships from Happily Forever's services. 16.2. Jurisdiction and place of performance is Mauritius. Happily Forever reserves the right to take legal action abroad if necessary.
17. Severability Clause
17.1. If any provision is invalid, the validity of the remaining provisions is unaffected. An invalid provision is to be replaced by a valid one that comes closest to the intended economic purpose.
18. Force Majeure
18.1. Happily Forever shall not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under these General Terms and Conditions that is caused by events outside its reasonable control ('Force Majeure Event').
18.2. A Force Majeure Event includes any act, event, non-happening, omission or accident beyond its reasonable control and includes in particular (without limitation) strikes, lock-outs or other industrial action; civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster; impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; impossibility of the use of public or private telecommunications networks; and the acts, decrees, legislation, regulations or restrictions of any government.
18.3. Happily Forever's performance under these General Terms and Conditions is deemed to be suspended for the period that the Force Majeure Event continues, and it will have an extension of time for performance for the duration of that period. Happily Forever will use its reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which its obligations under these General Terms and Conditions may be performed despite the Force Majeure Event.
19. Indemnification
19.1. Clients agree to indemnify and hold Happily Forever harmless against any claims, liabilities, losses, damages, costs, and expenses (including legal fees) arising out of or related to their use of Happily Forever's services or breach of these General Terms and Conditions.
